This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or the organization you represent, "you") and Dantron.net ("Dantron", "we", "us") governing your use of any software application, add-in, integration, or related service published by Dantron (the "Software").
By installing, connecting, accessing, or using the Software, you agree to this Agreement. If you do not agree, do not use the Software. If you are accepting on behalf of an organization, you confirm you have authority to bind it.

Subject to this Agreement and any applicable subscription or order terms, Dantron grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software for your internal business purposes during the term of your access.

The Software may connect to third-party platforms, such as accounting, productivity, or financial services ("Third-Party Services"). Your use of a Third-Party Service is governed by that provider's own terms and privacy policy. You authorize Dantron to access and exchange data with Third-Party Services you connect, solely to provide the Software's functionality.
Third-Party Service providers are not parties to this Agreement and are not responsible for the Software or its support. Dantron is not responsible for the availability, accuracy, or conduct of any Third-Party Service.

You retain all rights to the data you provide to or access through the Software ("Your Data"). Dantron uses Your Data only to provide, maintain, and support the Software, and does not sell it. You may disconnect the Software from any Third-Party Service at any time. See our Privacy Policy for more information.
You are responsible for the accuracy of Your Data and for reviewing results produced by the Software before relying on them.

The Software, including all intellectual property rights in it, is and remains the property of Dantron and its licensors. This Agreement grants you a license to use the Software, not ownership of it. All rights not expressly granted are reserved.

Dantron may update, modify, or discontinue the Software or any feature at any time. Support is available at our support page or support@dantron.net.

This Agreement remains in effect until terminated. You may terminate it at any time by ceasing use of the Software and disconnecting it from any connected services. Dantron may suspend or terminate your access if you breach this Agreement. Sections covering ownership, disclaimers, limitation of liability, and governing law survive termination.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DANTRON DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL MEET YOUR REQUIREMENTS. THE SOFTWARE DOES NOT PROVIDE PROFESSIONAL ACCOUNTING, LEGAL, OR FINANCIAL ADVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DANTRON WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM OR RELATED TO THE SOFTWARE. DANTRON'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

You agree to indemnify and hold Dantron harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your misuse of the Software or your breach of this Agreement.

This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Dantron may update this Agreement from time to time. The "Last updated" date above reflects the latest version. Continued use of the Software after changes take effect constitutes acceptance of the revised Agreement.
